Terms of Service

These Terms of Service ("Terms") govern your access to and use of NPIData.org, including its website, databases, search tools, provider-tracking services, sales intelligence products, application programming interfaces ("API"), data products, reports, alerts, downloads, software, and related services (collectively, the "Service").

The Service is operated by ASFMS LLC, a Florida limited liability company ("ASFMS," "NPIData.org," "we," "us," or "our").

By creating an account, purchasing a subscription, accessing the API, accessing restricted portions of the Service, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" include that organization.

If you do not agree to these Terms, do not use the Service.

1. The Service

NPIData.org provides tools for accessing, searching, organizing, analyzing, monitoring, and working with information concerning healthcare providers and healthcare organizations.

Depending on your subscription and the features made available from time to time, the Service may include:

• enhanced National Provider Identifier ("NPI") database search
• healthcare provider and practice profiles
• provider and practice discovery
• tracking of newly identified providers
• tracking of new or changed practices
• provider relocation and geographic movement tracking
• specialty and practice expansion signals
• monitoring of providers entering or leaving selected geographic areas
• healthcare market intelligence
• medicinal, pharmaceutical, healthcare, or related sales leads
• provider and practice analytics
• compensation estimates and related analysis
• exclusion and sanctions information sourced from government publications
• alerts and watchlists
• compiled or enriched datasets
• downloadable information
• API access
• other healthcare-data and analytics products

We may add, remove, modify, improve, or discontinue features of the Service from time to time.

2. Sources of Information

The Service may incorporate information obtained from NPPES, CMS, other government sources, public records, publicly available websites, licensed data sources, third-party sources, and information generated or derived through NPIData.org's own processing and analysis.

CMS makes FOIA-disclosable NPPES information available through the NPI Registry and downloadable files. CMS states that these records contain information reported by healthcare providers or persons acting on their behalf.

NPIData.org is an independent service operated by ASFMS LLC.

NPIData.org is not operated by, affiliated with, endorsed by, or sponsored by the Centers for Medicare & Medicaid Services ("CMS"), the United States Department of Health and Human Services, NPPES, the Office of Inspector General ("OIG"), the Bureau of Labor Statistics, the United States Department of Labor, or any other government agency.

3. Public Data and NPIData.org Proprietary Content

Certain underlying government records accessible through the Service are publicly available and may independently be obtained from their original government sources.

Nothing in these Terms is intended to claim ownership over government information that is not subject to private copyright or other proprietary rights.

However, the availability of underlying public information does not grant users ownership of or unrestricted rights in NPIData.org's separate proprietary materials.

To the extent permitted by law, ASFMS LLC retains all rights in its:

• software
• website
• user interface
• database architecture
• search technology
• APIs and API documentation
• data normalization
• data matching
• classifications
• proprietary compilations
• organization and selection of data
• analytics
• calculated fields
• provider-change detection
• historical comparisons
• provider and practice signals
• lead-generation systems
• rankings and scoring methodologies, if any
• compensation models and estimation methodologies
• enrichment
• reports
• alerts
• documentation
• branding
• other original or proprietary content and technology

Access to the Service does not transfer ownership of any ASFMS intellectual property to you.

4. License to Use the Service

Subject to these Terms and payment of applicable fees, ASFMS grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal personal or business purposes during your subscription period.

Any rights not expressly granted are reserved by ASFMS.

Your subscription provides access to the Service. It does not constitute a sale or transfer of the Service, NPIData.org software, proprietary databases, or intellectual property.

5. Permitted Uses

Subject to your plan and these Terms, you may use the Service for legitimate purposes such as:

• healthcare market research
• provider discovery
• sales prospecting
• territory planning
• business development
• provider-network analysis
• competitive intelligence
• healthcare recruiting
• practice research
• provider and practice monitoring
• commercial healthcare research
• internal analytics
• CRM enrichment
• identifying potential healthcare customers or business partners
• other lawful business purposes

You are responsible for ensuring that your particular use of the information complies with applicable laws and regulations.

Section 7 describes uses that are prohibited regardless of the permissions in this Section.

6. Sales Leads

Certain portions of the Service may identify providers, practices, organizations, or events that may be relevant for medicinal, pharmaceutical, medical-device, healthcare, or other commercial sales activities.

These results are informational leads only.

A lead, signal, classification, or recommendation does not mean that:

• the identified person or organization wants to be contacted
• the provider is accepting solicitations
• a provider is currently practicing at a particular location
• a practice is accepting new vendors
• the provider or organization has purchasing authority
• the provider requires or is interested in a particular product
• contacting the provider is legally permissible through every communications channel
• the information remains current

You are solely responsible for your outreach activities and for complying with laws governing marketing, telemarketing, email, text messaging, pharmaceutical promotion, privacy, and other commercial communications.

7. Not a Consumer Reporting Agency

NPIData.org is not a consumer reporting agency as defined by the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"), and is not a reseller, furnisher, or user of consumer reports.

Information obtained through the Service is not a consumer report, investigative consumer report, or consumer file, and is not assembled, evaluated, or furnished for any purpose described in the FCRA.

ASFMS does not follow the reasonable procedures required of a consumer reporting agency, does not perform the reinvestigation procedures the FCRA requires, and makes no representation that information in the Service meets FCRA standards of accuracy or completeness.

Accordingly, you may not use the Service, in whole or in part, as a factor in establishing any individual's eligibility for:

• employment, hiring, promotion, reassignment, or retention
• credentialing, privileging, or professional appointment
• credit or insurance underwriting
• housing or tenancy
• a government license or benefit
• any other purpose enumerated in 15 U.S.C. § 1681b

Section 5 permits healthcare recruiting in the sense of identifying and researching providers and markets. It does not permit using the Service to make or inform an adverse decision about an identified individual. Where a decision of that kind is contemplated, you must obtain a consumer report from a consumer reporting agency and comply with the FCRA's notice, consent, and adverse-action requirements.

You are responsible for your use of the Service and for any consequence of using it for a purpose this Section prohibits.

8. Acceptable Use

You may not use the Service to:

• violate any applicable law or regulation
• impersonate another person or organization
• gain unauthorized access to the Service or another user's account
• interfere with the security or operation of the Service
• introduce malware or malicious code
• bypass access controls, quotas, API limits, or technical restrictions
• use multiple accounts or API credentials to circumvent usage limits
• probe, scan, or test vulnerabilities without our written permission
• reverse engineer the Service except where such restriction is prohibited by law
• scrape portions of NPIData.org not expressly made available for automated access
• systematically reproduce the NPIData.org website or proprietary database
• create a substantially similar or competing database primarily by extracting NPIData.org proprietary or enriched content
• resell API credentials
• provide unauthorized third parties with access to your account
• misrepresent NPIData.org information as official government verification
• use NPIData.org as proof that a provider is licensed, credentialed, sanctioned, eligible to practice, or otherwise professionally qualified
• use the Service for any purpose prohibited by Section 7
• use the Service in a manner that creates unreasonable technical load or interferes with other users

We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the Service, our users, our data suppliers, or third parties.

9. API Access

Certain subscription plans include access to the NPIData.org API.

API access is subject to these Terms, applicable API documentation, and the limits associated with your subscription.

You must keep API keys and credentials confidential.

You are responsible for all requests made using credentials issued to your account, except to the extent caused by a security breach attributable to ASFMS.

You may not sell, publish, transfer, or disclose an API key to an unauthorized third party.

We may replace or revoke credentials where we reasonably believe they have been compromised or misused.

10. Pro API Plan

Unless otherwise stated on the applicable order or pricing page, the Pro plan includes up to 5,000 API calls per monthly billing period.

The Pro API is subject to a hard monthly limit.

Once 5,000 API calls have been consumed during a billing period, additional API requests may be rejected or disabled until the beginning of the next billing period or until you upgrade to another plan.

Pro customers will not automatically incur API overage charges merely by reaching the 5,000-call limit.

Unused API calls do not roll over into subsequent billing periods unless expressly stated otherwise.

11. Enterprise API Plan

Unless otherwise stated in an applicable enterprise order form or agreement, the Enterprise plan includes 500,000 API calls per monthly billing period.

Unlike the Pro plan, Enterprise API usage is metered rather than automatically cut off when the included monthly allocation is exceeded.

After an Enterprise account exceeds 500,000 API calls during a monthly billing period, additional usage will be billed at:

$75 per additional 50,000 API calls.

Unless an applicable order form expressly provides otherwise, each commenced additional block of up to 50,000 calls may be billed as a 50,000-call overage block.

For example, absent different terms in an Enterprise order:

• 500,000 calls: included
• 500,001–550,000 calls: additional $75
• 550,001–600,000 calls: additional $150
• subsequent usage continues at the same rate

Enterprise API access ordinarily will continue operating after the included 500,000 calls are consumed, so exceeding the included allocation does not automatically interrupt an integration.

We may nevertheless impose temporary technical restrictions where necessary to address abuse, attacks, security risks, extraordinary traffic, violations of these Terms, nonpayment, or threats to the availability or integrity of the Service.

12. Enterprise Usage Notifications

NPIData.org will use commercially reasonable efforts to send an email notification when an Enterprise account reaches approximately 80% of its included monthly API allocation.

Usage notifications are provided as a convenience.

Failure to receive an email notification does not eliminate API usage already incurred or applicable overage charges.

Customers are responsible for monitoring their API usage through available account or API-management tools.

13. API Call Measurement

ASFMS's server records determine the number of API calls associated with an account for purposes of quotas and billing, absent manifest error.

An API request received and processed by our systems may count toward usage even if the requesting application subsequently discards the response.

We may implement reasonable protections against duplicate billing caused solely by failures originating within our infrastructure.

14. API Rate Limits

In addition to monthly usage allocations, NPIData.org may impose reasonable per-second, per-minute, concurrent-request, endpoint-specific, or other technical rate limits to maintain Service reliability and prevent abuse.

Rate limits may vary by subscription level.

Exceeding a technical rate limit may result in temporary throttling or rejected requests.

Technical rate limits are separate from monthly API-call allocations.

15. Accounts

The Service is intended for business and professional use. You must be at least 18 years old to create an account or purchase a subscription. The Service is not directed to children, and we do not knowingly collect personal information from children.

You must provide accurate account information and maintain the security of your login credentials.

You are responsible for activity conducted through your account.

You must promptly notify us if you reasonably believe your account or API credentials have been compromised.

We may require reasonable security measures for accounts generating substantial API traffic.

16. Email, Alerts and Communications

Certain features of the Service ask for an email address in exchange for access to search results, reports, downloads, or other material. Where you provide an email address in that way, you agree that we may use it to deliver the material requested, to send related product and marketing communications about NPIData.org, and to send the transactional messages described in Section 42.

Alerts, digests, and watchlist notifications are sent only for monitoring you have configured, and only while that monitoring remains active on your account.

Every marketing or alert email includes an unsubscribe mechanism. Unsubscribing stops marketing and alert communications; it does not stop transactional messages concerning your account, subscription, billing, security, or these Terms, which we may continue to send while your account exists.

Alerts and digests are delivered on a commercially reasonable basis. We do not guarantee that any particular alert will be generated, delivered, or delivered within a particular time, and delivery depends on systems outside our control, including your email provider. Failure to deliver an alert does not create liability, and you should not rely on an alert as your only means of learning about a change in the underlying data.

Our collection and use of email addresses is further described in our Privacy Policy.

17. Subscriptions

Paid subscriptions are billed according to the price, billing frequency, and plan displayed when you subscribe or stated in an applicable order form.

Unless expressly stated otherwise, paid subscriptions automatically renew for successive periods of the same applicable billing interval until canceled.

You authorize ASFMS and its payment processor to charge your selected payment method for recurring subscription fees, applicable taxes, Enterprise API overages, and other charges you authorize under your plan.

Where applicable law requires additional renewal notices or cancellation rights, we will provide them in accordance with applicable law.

18. Cancellation

You may cancel a subscription through the cancellation functionality provided by NPIData.org or through another cancellation method we make available.

Cancellation prevents future subscription renewals but ordinarily does not terminate access immediately.

Unless otherwise specified, you may continue using paid features until the end of the billing period for which you have already paid.

API overages incurred before cancellation remain payable.

19. Refund Policy

Except where required by law or expressly stated otherwise, payments are non-refundable.

We generally do not provide refunds or credits for:

• partially used billing periods
• unused subscriptions
• unused API calls
• failure to use the Service
• account cancellation after a renewal has occurred
• API calls already consumed
• Enterprise overage usage already incurred

If ASFMS issues a refund or credit in a particular circumstance, doing so does not create an obligation to provide similar refunds or credits in the future.

20. Taxes

Fees are exclusive of taxes unless expressly stated otherwise.

You are responsible for applicable sales, use, value-added, withholding, or similar taxes associated with your purchase, except taxes imposed on ASFMS's net income.

21. Changes to Pricing and Plans

We may modify plan features, usage allowances, or pricing prospectively.

For existing recurring paid subscriptions, material pricing changes will take effect no earlier than the next applicable renewal period following any notice required by law or contract.

Enterprise pricing established through a separate signed order form will be governed by that order form.

22. Data Accuracy

NPIData.org aggregates and analyzes information from numerous sources, some of which are outside ASFMS's control.

We do not warrant that provider information is accurate, complete, current, error-free, or suitable for any particular purpose.

Government records themselves may contain inaccurate, incomplete, outdated, or provider-reported information.

CMS specifically states that issuance of an NPI does not ensure or validate that a healthcare provider is licensed or credentialed.

Accordingly, an NPIData.org result should not be interpreted as confirmation that a provider:

• is currently practicing
• remains at a listed address
• possesses an active professional license
• is credentialed
• participates in a particular insurance network
• is accepting patients
• is accepting new business
• is employed by or affiliated with a particular organization
• possesses a particular specialty at the present time
• is otherwise professionally qualified

You should independently verify information where accuracy is important to your decision.

23. Exclusion and Sanctions Information

The Service may display information derived from the List of Excluded Individuals and Entities ("LEIE") published by the Office of Inspector General of the United States Department of Health and Human Services, or from comparable government publications.

Where the Service associates an exclusion record with a provider, it reports that a government-published record bearing a particular National Provider Identifier appears in the source publication, together with the date and statutory authority stated in that publication. It does not independently determine, verify, or assert that any identified individual or organization is in fact excluded, was properly excluded, or remains excluded.

Exclusion records are matched to providers by National Provider Identifier. The source publication does not include a National Provider Identifier for every record, so the absence of an exclusion result on the Service does not indicate that a provider has not been excluded. Conversely, source records may contain errors, may have been superseded, or may have been reinstated without the change being reflected in the data available to us.

The OIG maintains the authoritative version of the LEIE and an online verification tool. Any exclusion determination affecting a real decision must be made using those official sources, and a search result on the Service must not be used as a substitute for them.

Consistent with Sections 7 and 27, you may not use exclusion information obtained through the Service as a factor in an employment, credentialing, privileging, or similar determination concerning an identified individual.

If you believe an exclusion result displayed by the Service is inaccurate, you may contact us using the details in Section 47. Where the underlying government record is itself inaccurate, correction must be sought from the agency that publishes it; we are not able to alter a government record and will not remove an accurate reflection of one.

24. Compensation Estimates and Analytical Outputs

The Service may display estimated compensation figures, pay ranges, historical comparisons, confidence grades, and similar analytical outputs for a specialty, geography, practice setting, or other category.

These figures are estimates produced by combining published data from sources including government wage surveys, government labor-condition disclosures, government payment data, and published third-party compensation surveys. They are the output of a model, together with the assumptions that model makes, and those assumptions are described on the Service.

Compensation estimates describe categories, not people. No estimate states, implies, or should be understood to state what any identified individual or organization earns, has earned, or is able to earn.

Underlying sources measure different things and are subject to their own limitations, including statistical caps on published values, exclusion of practice owners, coverage of only certain employment arrangements, and survey sampling error. Confidence grades displayed alongside an estimate express our assessment of how far independent sources agree, and are not a warranty of accuracy.

Compensation estimates are provided for research and informational purposes. They are not an appraisal, a valuation, a salary benchmark certified for any regulatory purpose, or advice concerning compensation, employment, contracting, taxation, litigation, or the value of any practice or transaction. You should not rely on them as the sole basis for a negotiation, a filing, a valuation, or any other decision, and you should obtain professional advice where the figure matters.

25. Provider Tracking and Change Detection

Features describing a provider as "new," "moved," "relocated," "joined," "left," "expanded," "opened," "closed," "changed specialty," or similar terms may be generated by comparing data available at different points in time.

Such classifications represent NPIData.org's interpretation of available information and may not represent the actual date or reason an underlying real-world event occurred.

For example, an address change in a source dataset could reflect a reporting update rather than the actual date on which a provider relocated.

Provider-change information therefore should be treated as a signal for further investigation, not definitive proof of the underlying event.

26. No Medical Advice

NPIData.org is an information and business-intelligence service.

It does not provide medical advice, diagnosis, treatment recommendations, or healthcare services.

Information appearing on NPIData.org should not be used as a substitute for professional medical advice or emergency services.

27. No Credentialing or Compliance Determination

NPIData.org is not a credentialing service unless a particular product is expressly identified as such in a separate written agreement.

You should not rely solely on NPIData.org to make:

• licensing determinations
• credentialing decisions
• exclusion or sanctions checks
• employment eligibility decisions
• patient-safety determinations
• regulatory compliance determinations
• other decisions requiring authoritative verification

28. No Guarantee of Leads or Commercial Results

We do not guarantee that sales leads, market signals, provider alerts, or other information will result in:

• sales
• meetings
• responses
• customers
• revenue
• successful recruiting
• market opportunities
• any other business outcome

29. Third-Party Services and Sources

The Service may rely upon or link to third-party services, government databases, websites, APIs, or other external resources.

ASFMS does not control those third parties and is not responsible for their availability, content, accuracy, security, policies, or practices.

Third-party data sources may change, delay, restrict, or discontinue access without notice to us.

Such changes may affect NPIData.org features.

30. Service Availability

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free availability.

The Service may be temporarily unavailable because of:

• maintenance
• upgrades
• infrastructure failures
• upstream data-provider failures
• Internet outages
• cyberattacks
• extraordinary traffic
• governmental changes to source systems
• circumstances beyond our reasonable control

We may perform scheduled or emergency maintenance as reasonably necessary.

31. Beta and Experimental Features

We may identify certain features as beta, preview, experimental, early access, or similar.

Such features may be modified or discontinued at any time and may be less reliable than generally available features.

32. Feedback

If you voluntarily provide suggestions, ideas, feature requests, or other feedback concerning NPIData.org, you grant ASFMS a perpetual, worldwide, irrevocable, royalty-free right to use that feedback to develop and improve its products and services without compensation or attribution to you.

This provision does not transfer ownership of your confidential information to ASFMS.

33. Suspension and Termination

We may suspend or terminate access to all or part of the Service if:

• you materially violate these Terms
• required fees remain unpaid
• your use presents a security risk
• your activity threatens Service stability
• we reasonably suspect fraudulent or unlawful activity
• suspension is required by law

Where reasonably practicable, we may provide notice and an opportunity to cure a remediable violation.

You may stop using the Service at any time.

Termination does not eliminate payment obligations incurred before termination.

34. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

ASFMS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• TITLE
• NON-INFRINGEMENT
• ACCURACY
• COMPLETENESS
• AVAILABILITY; AND
• RELIABILITY

ASFMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

ASFMS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY PROVIDER RECORD, LEAD, ANALYSIS, SIGNAL, ALERT, CLASSIFICATION, EXCLUSION RECORD, COMPENSATION ESTIMATE, API RESPONSE, OR THIRD-PARTY DATA.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

35. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASFMS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, the aggregate liability of ASFMS arising out of or relating to the Service or these Terms will not exceed the greater of:

• (a) the amount you paid to ASFMS for the Service during the 12 months immediately preceding the event giving rise to the claim
• (b) $100

These limitations apply regardless of the theory of liability, including contract, tort, negligence, strict liability, or otherwise.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

36. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ASFMS LLC and its members, managers, officers, employees, contractors, affiliates, and agents from claims, damages, liabilities, losses, judgments, costs, and reasonable attorneys' fees arising from or related to:

• your unlawful use of the Service
• your material violation of these Terms
• your use of the Service for a purpose prohibited by Section 7
• your infringement or violation of another person's rights
• marketing or sales communications initiated by you using information obtained through the Service
• your products or services
• applications or systems you connect to the NPIData.org API

ASFMS will provide reasonable notice of a covered claim and will not agree to a settlement imposing non-monetary obligations on you without your consent, not to be unreasonably withheld.

37. Privacy

Our collection and use of information concerning users of NPIData.org is governed by our Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

You are responsible for determining whether your own collection, storage, combination, or use of information obtained through NPIData.org creates additional privacy obligations applicable to your organization.

38. Copyright, Trademark and Takedown

"NPIData.org," associated logos, product names, graphics, and branding belonging to ASFMS are protected by applicable intellectual-property laws.

You may not use ASFMS trademarks or branding in a manner that suggests sponsorship, endorsement, or affiliation without permission.

Nothing in these Terms grants ASFMS ownership over trademarks or materials belonging to CMS or other third parties.

If you believe material accessible through the Service infringes your copyright, you may send a notice under the Digital Millennium Copyright Act, 17 U.S.C. § 512, to our designated agent:

A notice must include the elements required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work, identification of the material claimed to be infringing and information reasonably sufficient to locate it, your contact details, a statement of good-faith belief that the use is not authorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature.

We will respond to properly submitted notices in accordance with the DMCA and may remove or disable access to material identified in a valid notice. We may terminate the accounts of users who are repeat infringers.

39. Changes to These Terms

We may modify these Terms from time to time.

When changes are material, we will provide notice as required by applicable law, such as by posting revised Terms, updating the "Last Updated" date, displaying an account notice, or sending an email.

Changes will apply prospectively from their stated effective date.

If you do not agree to revised Terms, you must discontinue use of the Service and cancel any subscription before the revised Terms become applicable to you.

40. Governing Law

These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent applicable federal law controls.

41. Venue

Unless applicable law requires otherwise, any court proceeding arising out of or relating to these Terms or the Service shall be brought in a state or federal court having jurisdiction in Miami-Dade, Florida, and each party consents to the personal jurisdiction and venue of those courts.

42. Electronic Communications

By using the Service, you agree that transactional notices concerning your account, subscription, billing, API usage, security, and these Terms may be provided electronically.

Marketing communications are subject to any separate consent and opt-out rights required by applicable law, and to Section 16.

43. Assignment

You may not assign these Terms or transfer your account without our prior written consent, except as otherwise permitted in an Enterprise agreement.

ASFMS may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the NPIData.org business.

44. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

45. Waiver

Failure by ASFMS to enforce a provision of these Terms does not waive our right to enforce it later.

46. Entire Agreement

These Terms, the Privacy Policy, any applicable order form, and any other terms expressly incorporated by reference constitute the agreement between you and ASFMS concerning the Service.

If an Enterprise customer enters into a separately executed agreement or order form with ASFMS and that document expressly conflicts with these Terms, the separately executed agreement or order form controls to the extent of the conflict.
